UAE Economic Substance Regulations (ESR) Guide 2026
The UAE introduced Economic Substance Regulations (ESR) to align with global tax standards and prevent businesses from using the UAE simply as a low-tax jurisdiction without actual economic activity.
What are the "Relevant Activities"?
Businesses undertaking any of the following must file an ESR notification and report:
- Banking, Insurance, or Investment Fund Management
- Lease-Finance
- Headquarters Business
- Shipping
- Holding Company Business
- Intellectual Property Business
- Distribution and Service Centre Business
The ESR Test
If your company generates income from a Relevant Activity, you must pass the Economic Substance Test. This means you must:
- Be directed and managed in the UAE.
- Perform Core Income-Generating Activities (CIGA) in the UAE.
- Have adequate employees, premises, and expenditure in the UAE.
Deadlines and Penalties
- Notification: Must be filed within 6 months of your financial year-end.
- Report: Must be filed within 12 months of your financial year-end. Failing to file triggers penalties starting from AED 20,000, rising to AED 50,000 and potential license suspension. Contact Curatax LLC to assess your ESR obligations today.
